Terms

Draft. The commercial description below matches what the platform does. The clauses a contract also needs — liability, warranty, termination, governing law, consumer withdrawal — are marked and have to be written by somebody qualified before this is binding on anyone.
1. What Adsly is
A marketplace where advertisers buy posts in Telegram channels and the owners of those channels sell them. We are a party to neither the content of an advert nor the editorial of a channel; we match, price, measure and settle.
2. Accounts
An account is held by an organisation and used by the people in it. You are responsible for what happens under your account, and for keeping your credentials to yourself.Clauses on suspension and termination
3. How a price is agreed
Catalogue. A publisher lists a price per post. The platform fee is added on top, the advertiser buys the placement outright, and nobody negotiates.
Brief. An advertiser describes an audience and a budget, an administrator assembles the channel list and sets both sides’ rates, and every publisher accepts or declines before anything runs. Accepting is the agreement. Nothing is published and no money moves until they do.
The fee is disclosed. Gross charge, platform fee and net payout are visible to both sides, on the booking and on the record afterwards. The rates in force when a booking is approved are written onto that booking; a later change to our fees does not reprice work that already ran.
4. What is billed
Per post at a fixed price, per thousand verified views, or per de-duplicated click on our tracked link — chosen per campaign and shown before you commit. Views are counted from readings taken over time and audited; a reading we never took stays missing rather than being filled in with a zero. Clicks exclude bots and repeats from the same visitor.
A fixed handling fee, where one applies, is charged once per booked placement — not per view, and not at all when nothing was delivered.
5. Money
An advertiser funds a balance before booking. Approving a campaign places a hold on that balance; a booking a publisher declines returns its hold in full, and anything the campaign does not deliver returns at settlement.
A publisher’s earnings become withdrawable once the delivery they come from has settled. Withdrawals are paid out above a minimum amount, which is shown on the wallet page, and are made by hand against the details you give us.Clauses on currency, taxes, invoicing and chargebacks
6. Content
Advertisers warrant that they may use what they upload and that it is lawful where it will be seen. We review creatives before they run and may refuse any. A publisher may decline any booking without giving a reason.Prohibited-content list, and who is liable for what
7. The parts a lawyer writes
Liability and its limits Warranty Term and termination Changes to these terms Governing law and venue Consumer right of withdrawal
